Kemkit — Terms of Service

1. Who we are

Kemkit ("Kemkit," "we," "us") is a browser-based toolkit for email designers and Klaviyo technicians, available at kemkit.com and kemkit.app. Paid plans are sold by Polar Software, Inc., acting as merchant of record. You can reach us at hello@kemkit.com.

2. What Kemkit does

Kemkit provides the following tools:

• Email Splitter — slices uploaded email design images into numbered blocks for use in email builders. Runs entirely in your browser.
• Copy Extractor — uses AI to extract visible text from an uploaded email image.
• Link Hub — includes a Link Finder (scans a Shopify store you provide for product/collection links), a Discount Link Builder, and a Cart Builder.
• Send to Klaviyo — with your permission, uploads your slices into your own Klaviyo account and builds a draft template with your alt text and links in place. Requires a Kemkit account and a connected Klaviyo account.

Some features are free without an account. Paid plans unlock higher usage limits and additional features, billed through our payment processor, Polar.

3. Accounts and eligibility

Email Splitter and Link Hub work without an account, and so does Copy Extractor, up to a monthly allowance of emails. Sending slices to Klaviyo requires an account, because the Klaviyo connection has to belong to someone. Accounts are free, and are required for paid plans. If you create one, you must give accurate information and are responsible for keeping your credentials secure. You must be at least 18 years old, or the age of legal majority where you live, to use Kemkit. If you are added to someone else's plan as a teammate, you still need your own account — see section 5.

4. Free and paid plans

• Free plan: 5 emails per month. An email counts once, and only when AI or Klaviyo is involved — the first time Copy Extractor reads it, or the first time you finish sending it to Klaviyo. Uploading a design, placing guides, slicing it and downloading the ZIP are free and never count. After that one credit, everything you do with the same email is included, however many times you do it. Your allowance runs from your sign-up day, not the 1st of the calendar month. Signed-out use is counted per network. Signed-in use is counted per account, and free accounts additionally share an allowance across the network they connect from and the address they were created with, so that creating extra free accounts does not multiply the free allowance. Paid plans are never subject to that sharing.
• Paid plans: Solo includes 50 emails per month and Solo Pro 200. Both remove ads. Your allowance runs from your billing date, not the 1st of the calendar month. Billed monthly or annually through Polar, which acts as the merchant of record and handles payment, invoicing, and applicable taxes. Plans shown as “coming soon” are not on sale and cannot be bought.
• Extra emails (overage): past your plan's included allowance, you may opt in to paying per extra email at the rate shown on the pricing page, up to a monthly spend cap you set yourself. This is off by default and never applies unless you turn it on. Extra-email charges are billed by Polar the same way as your subscription.
• You can cancel a paid plan at any time; cancellation takes effect at the end of your current billing period. Full details, including a 14-day refund on your first payment, are in our Refund & Cancellation Policy.

5. Teams and teammates

A paid plan can have teammates added to it. The person who owns the subscription is the owner; everyone they add is a teammate. The owner is not a teammate and does not occupy a seat — a plan with two teammates covers three people.

• Each teammate needs their own Kemkit account. The owner adds a teammate by email address, and that person gets access when they sign in to Kemkit with the same address. Accounts are not shared, and sign-in details must not be.
• The owner pays. Teammates are charged to the owner's subscription at the rate shown on our pricing page, billed by Polar alongside the plan. A teammate added part-way through a billing period is charged only for the remainder of that period. Polar's invoice is the authoritative amount; any figure Kemkit shows beforehand is an estimate.
• The allowance is shared, not per person. Each teammate adds to the owner's monthly email allowance, and everyone on the team draws from that one shared pool. Unused emails do not carry over. Where a plan has an extra-email (overage) rate, teams are charged at the team rate shown on the pricing page.
• What a teammate can do. A teammate can use every Klaviyo account the owner has connected, and everything those connections allow. A teammate cannot connect or disconnect a Klaviyo account, cannot see or change billing, and cannot add or remove other teammates.
• What the owner can see. The owner can see each teammate's email address and whether they have signed in yet, and can remove any teammate at any time.
• Removal. When the owner removes a teammate, that person keeps access until the end of the billing period already paid for, and the allowance that teammate added stays available until the same date. If the owner's subscription ends or is cancelled, every teammate loses access when the plan does.
• Responsibility. The owner is responsible for who they add and for what their teammates do with the account, including any client data reached through a connected Klaviyo account.

6. Acceptable use

You agree not to:

• Use the Link Finder on any Shopify store you don't own or don't have explicit permission to access. Kemkit is not responsible for how you use this tool, and misuse is your responsibility, not ours.
• Upload content to Copy Extractor that is illegal, infringes someone else's rights, or that you don't have the right to process.
• Attempt to abuse, overload, or circumvent rate limits or usage caps on any Kemkit feature or API.
• Use Kemkit to build a competing product by systematically extracting our functionality.

We reserve the right to suspend or terminate access for accounts or usage that violates these terms.

7. Your content

You retain all rights to the email designs, images, and text you upload to Kemkit. We don't claim ownership over your content, and — per our Privacy Policy — we don't store your uploaded images after processing.

8. AI-generated content — no guarantee of accuracy

Copy Extractor uses a third-party AI model to read text from images. AI output can be wrong, incomplete, or miss text entirely, especially on stylized or image-heavy designs. You're responsible for reviewing and correcting extracted copy before using it — Kemkit doesn't guarantee accuracy and isn't liable for errors in AI-generated output.

9. Third-party services

Kemkit relies on third-party services to operate, including but not limited to:

• A third-party AI provider for Copy Extractor and parts of Link Finder
• Shopify's public store endpoints, accessed on your behalf when you use Link Finder
• Polar, for payment processing on paid plans
• Vercel, for hosting

We aren't responsible for outages, errors, or changes in these third-party services that affect Kemkit's availability.

10. No warranty

Kemkit is provided "as is" without warranties of any kind, express or implied. We don't guarantee the service will be uninterrupted, error-free, or fit for any particular purpose.

11. Limitation of liability

To the maximum extent permitted by law, Kemkit and its operator aren't liable for any indirect, incidental, or consequential damages arising from your use of the service, including but not limited to lost profits, lost data, or business interruption. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose (or $0 if you're on the free plan).

12. Termination

You can stop using Kemkit at any time. We may suspend or terminate your access if you violate these terms, misuse the service, or for any other reason with reasonable notice, except where immediate termination is warranted (e.g., abuse or illegal activity).

13. Changes to these terms

We may update these terms as Kemkit evolves. We'll update the "Last updated" date above when we do. Continued use of Kemkit after changes take effect means you accept the updated terms.

14. Governing law

These terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any disputes arising from these terms will be handled in the courts of the Philippines.
